Commercial Document Attestation Process

The commercial document attestation process must follow the correct legal chain based on where the document was issued and where it will be used. A document issued outside the UAE must complete legalization in the country of origin before UAE acceptance. A document issued inside the UAE must first be certified by the relevant UAE authority before it can be used abroad.

Foreign-Issued Commercial Documents for UAE Use

Foreign-issued commercial documents must be legalized in the country of origin before they can be used for business setup, branch registration, corporate banking, free zone applications, legal representation, court submissions, or commercial transactions in the UAE. This applies to foreign Certificates of Incorporation, Certificates of Status, Certificates of Good Standing, Certificates of Incumbency, shareholder registers, board resolutions, commercial powers of attorney, company extracts, agency agreements, and parent company documents.

1. Issuing Authority or Company Registry Verification: The document must first be issued or certified by the correct authority in the country of origin. This can include a company registry, secretary of state, chamber of commerce, notary public, court, registrar, or official business authority. A foreign company certificate must clearly show the company name, registration number, entity type, status, date of issue, and official seal or signature.
2. Notary, Court, Chamber, or Registry Authentication: If the document is a commercial power of attorney, board resolution, shareholder resolution, declaration, certified copy, or contract, it must be notarized or authenticated by the competent local authority before foreign affairs submission. The signing authority must be clear, and the document must show the correct company name, authorised signatory, document purpose, date, and seal.
3. Foreign Affairs Authentication: After local verification, the document must be authenticated by the Ministry of Foreign Affairs or equivalent government authority in the issuing country. This step confirms the local official’s signature and seal before the document is submitted to the UAE Embassy or UAE Consulate.
4. UAE Embassy or UAE Consulate Legalization Abroad: The document must then be legalized by the UAE Embassy or UAE Consulate responsible for the issuing country or jurisdiction. This embassy stage confirms that the foreign affairs authentication is valid and prepares the commercial document for UAE use.
5. Final UAE MOFA Attestation: After the document reaches the UAE, it must be submitted for UAE Ministry of Foreign Affairs attestation. UAE MOFA confirms the final seal and signature so the foreign-issued commercial document can be accepted by UAE government departments, banks, courts, free zones, licensing authorities, notaries, and commercial entities.
6. Legal Translation, Where Required: If the foreign-issued commercial document is not in Arabic or English, it must be translated through the accepted certified legal translation process before UAE authority submission. Company names, registration numbers, shareholder details, signatory names, dates, and stamps must match the original document.

UAE-Issued Commercial Documents for Use Abroad

UAE-issued commercial documents must be certified through the correct UAE authority before they can be accepted in another country. This applies to ADGM commercial licences, DMCC authentication certificates, Dubai Chamber-attested resolutions, UAE trade licences, commercial invoices, Certificates of Origin, commercial powers of attorney, contracts, shareholder resolutions, company registration papers, product registration certificates, and import/export documents.

1. UAE Issuing Authority Certification: The document must first be issued or certified by the UAE authority responsible for that document. This can include Dubai Chambers, Abu Dhabi Chamber, Sharjah Chamber, ADGM Registration Authority, DMCC, JAFZA, DAFZA, Dubai Courts Notary Public, a UAE free zone authority, customs authority, company registrar, or relevant government department.
2. Chamber, Free Zone, Court, or Notary Attestation: The document must carry the correct UAE authority verification before MOFA submission. Commercial powers of attorney, board resolutions, declarations, and company authorizations must be signed by the authorised signatory and notarized or certified where required. Free zone documents must be issued or authenticated by the relevant free zone authority. Dubai Chamber documents must carry the chamber verification or QR-based attestation where applicable.
3. Dubai Chambers Signature Verification, Where Applicable: If the document depends on a company signature, Dubai Chambers signature verification must be completed when required by the destination authority or attestation requirement. The document must be signed by the authorised signatory and must match the company’s registered signing authority.
4. Commercial Invoice and Certificate of Origin Processing: Export and re-export documents must follow the correct trade document process. A Certificate of Origin must be supported by a detailed commercial invoice. Depending on the shipment, supporting papers can include bill of lading, packing list, industrial licence, factory invoice, Dubai Customs transit bill, exporter-country invoice, or other customs records.
5. eDAS 2.0 for Commercial Invoice and COO: Commercial invoices and Certificates of Origin must be processed through the UAE MOFA eDAS 2.0 system where digital commercial invoice attestation applies. The company must be registered in eDAS 2.0 using its trade licence, and authorised users must access the system through the required login process.
6. UAE MOFA Attestation: After the UAE issuing authority, chamber, free zone, court, or notary certification is completed, the commercial document must be submitted for UAE MOFA attestation. For physical attestation, the document must be original, not laminated, and in Arabic or English, or accompanied by a legal translation.
7. Destination Embassy or Consulate Legalization: If the foreign country requires consular legalization, the UAE MOFA-attested document must then be submitted to that country’s embassy or consulate in the UAE. This is required for many commercial documents used for overseas branch registration, foreign bank account opening, court submission, agency appointment, shareholder changes, contracts, tenders, or import/export compliance.
8. Final Use in the Destination Country: Once UAE MOFA and destination embassy or consulate legalization are complete, the document can be submitted to the foreign authority, bank, court, chamber, customs office, company registry, business partner, or government department that requested it.
